General Terms and Conditions - Uma Health BV

Summary
These terms and conditions contain the rules governing the use of the Uma digital platform (“our platform”), managed by Uma Heath bv, a private company under Belgian law (“we”).
These terms and conditions supplement the special terms and conditions agreed between users and Uma, respectively, and between healthcare providers and Uma. In the event of a conflict between such special terms and conditions and the general terms and conditions, the special terms and conditions prevail.
1. The Uma Platform
Our platform offers a digital gateway to information and support for women going through (peri) menopause. The platform acts as (1) a technical intermediary for connecting women with licensed healthcare providers and (2) a source for educational information and tools related to (peri) menopause. We do not provide medical care ourselves; this is fully managed and determined by the independent healthcare providers on the platform. Our platform is limited to the technical elements that are necessary to connect users and care providers and to enable education and support.

2. Agree to the Terms of Use
Before using the platform as a user or being admitted as a healthcare provider, these terms and conditions must be accepted by both users and healthcare providers. By using the platform, both users and healthcare providers agree to the general and applicable special terms and conditions and confirm that they will comply with them. If potential users or healthcare providers do not agree to these terms, they should not use the platform.
As a user or healthcare provider, you are responsible for informing and agreeing to these terms and conditions to all persons who would access our platform via your personal account or internet connection.
3. Amendment to Terms and Platform
We may change these terms and conditions from time to time. Each time you want to use our platform, we recommend that you check the current terms to make sure you understand the terms that apply at that time.
We may also update our platform to make changes to our services or to meet the needs of users and healthcare providers.
4. Use of the Platform and Rates
Access to and use of the platform and the information available on it is free. Costs for consultations with healthcare providers are determined by the healthcare provider. Here, Uma charges a limited expense contribution for certain services, based on demonstrable operational costs (such as hosting, development, cybersecurity).
5. Cancellation policy
A cancellation policy applies to paid consultations or consultations paid by a partner or employer. If the user cancels within 24 hours prior to a scheduled consultation, the full consultation may be charged, depending on the health care provider's policy.
6. Platform availability and quality
We do not guarantee that the platform or its content will always be available or will function uninterrupted. Nor can we guarantee that the technical quality of the user experience will always meet the expectations of users and healthcare providers. We reserve the right to suspend, withdraw or limit the availability of the platform for administrative or legal reasons.
Uma Health BV is not liable for inconveniences or damage caused by the unavailability of the platform. Users and healthcare providers are strongly recommended to use anti-virus and anti-malware software and to download and install vendor updates on the systems they use.
7. Safety
We cannot guarantee that the platform will always be perfectly safe or virus-free. As a user or healthcare provider, you are responsible for securing your own technology and software.
You are not allowed to misuse our platform by intentionally introducing malicious software. It is also prohibited to gain unauthorized access to the platform or associated servers.
8. Intellectual Property Rights
We own all intellectual property rights on our platform, including all technical features and operating model. This content is protected by intellectual property rights and treaties worldwide. Users may only use our intellectual property rights for personal use of the platform and may not transfer these rights to third parties.
9. Accuracy of Information
The content on our platform is intended to provide general information about (peri) menopause and related services and does not provide specific medical advice. Users should contact a healthcare provider for personalized advice. While we make reasonable efforts to keep information up to date, we do not guarantee that the content on the platform is accurate or complete.
10. Links to other websites and resources
Our platform may contain links to other websites or resources that are operated by third parties. These links are provided for informational purposes only. We have no control over the content of these websites or resources and are not responsible for their content.
11. Privacy Policy
We process the personal information of users and healthcare providers in accordance with our Privacy Policy. It is the responsibility of each user or healthcare provider to keep their account information and passwords confidential.
12. Liability
Uma Health BV excludes all implied warranties and conditions to the fullest extent permitted by law and is not liable for any loss or damage resulting from the use or unavailability of our platform.
In particular, we are not responsible for any direct or indirect damage, loss of profit or income, loss of opportunity, or any other damage resulting from the use of our platform or interactions between users and healthcare providers.
For serious and acute medical issues, users are strongly advised to seek immediate medical attention and not rely solely on the services on our platform.
13. Applicable laws and disputes
These terms and conditions are governed by Belgian law. In the event of disputes regarding these terms and conditions, the courts in the district of Uma Health BV's registered office have exclusive jurisdiction.
